Projects Overview
Kay Mine
A historic high-grade VMS deposit with known mineralization extending from surface to at least 900m depth. The Kay Mine is surrounded by multiple past-producing copper-gold mines, offering exceptional expansion potential.
High-Grade Mineral Resource – 9.2M tonnes @ 3.2% CuEq Indicated + 0.9M tonnes @ 2.4% CuEq Inferred, with significant expansion potential at depth and along strike.
Ongoing Exploration – Phase 3 drill program continues to define and expand the deposit, with recent drilling intercepts including 125m at 2.2% CuEq and 93.3m at 8.3 g/t AuEq.
Infrastructure & Accessibility – Located 74 km north of Phoenix with road, power, and water access on private and BLM mining claims, with no existing royalties.
Sugarloaf Peak
A large-scale heap-leach gold deposit with a historic resource estimate of 1.5 million ounces of gold. Advanced metallurgical studies indicate potential for high recoveries.
Historic Gold Resource * – Historic resource estimate of 100 million tons containing 1.5 million ounces of gold at a grade of 0.5 g/t Au, indicating bulk mining potential.
Favourable Metallurgy – Oxide gold recoveries of up to 95% in preliminary metallurgical testing, with additional work ongoing to optimize processing.
Exploration Upside – Drilling has intersected sulphide gold mineralization at depths exceeding 500m, suggesting further resource expansion potential.

Jacques Perron, Chair and director of Arizona Metals, has over 40 years of mining industry experience. He also serves on the boards of Centerra Gold and Franco-Nevada, and previously led Pretium Resources and Thompson Creek Metals as President and CEO. In addition, he chairs the Canadian Mineral Industry Education Foundation. Mr. Perron holds a B.Sc. in Mining Engineering from l’École Polytechnique de Montréal.

Ms. Breanne Beh is a Professional Geologist with over a decade of exploration experience. As former President and CEO of Angus Gold, she oversaw the discovery of multiple new gold zones at the Golden Sky project and led the company to its acquisition by Wesdome Gold Mines in 2025. She holds a B.Sc. in Geology from the University of Calgary and an M.Sc. from Lakehead University, and is registered in Ontario and Québec.

Ms. Saxton has over 35 years of leadership in the mining sector, with board roles at Bunker Hill Mining and Rare Element Resources, and past directorships at Aquila Resources and Pershing Gold. She previously served as CFO of Thompson Creek Metals and NewWest Gold, and VP Finance for Franco-Nevada’s U.S. operations. A former Arthur Andersen accountant, she brings expertise in financial governance and capital markets. She holds a B.Sc. in Accounting from the University of Colorado and is based in Denver.

STATEMENT OF CORPORATE GOVERNANCE PRACTICES
Corporate Governance Guidelines set out an amended series of guidelines for effective corporate governance. The guidelines address matters such as the constitution and independence of corporate boards, the function to be performed by boards and their committees and the effectiveness of their board members. National Instrument 58-101 - Disclosure of Corporate Governance Practices ("NI-58-101") requires the disclosure by each listed corporation of its approach to corporate governance with reference to the guidelines, as it is recognized that the unique characteristics of individual corporations will result in varying degrees of compliance.
The Board of Directors (the “Board”) primary function is to supervise the management of the business and affairs of Arizona Metals Corp. (the “Company”). The Board’s fundamental objectives are to enhance and preserve long-term shareholder value and to ensure the Company conducts business in an ethical and safe manner. In performing its functions, the Board should also consider the legitimate interests its other stakeholders such as employees, customers and communities may have in the Company. In carrying out its stewardship responsibility, the Board, through the Chief Executive Officer, shall set the standards of conduct for the Company.
The Board fulfills its responsibilities directly and indirectly through its Committees at regularly scheduled meetings or as required. At present, the Board committees consist of the Audit Committee and the Compensation, Corporate Governance and Nominating Committee.
